Founder Reservation Terms

Version: 1.0 — Effective Date: July 2026 — Jurisdiction: New South Wales, Australia (Australian Consumer Law)

1. Nature of the Reservation

The Founder Reservation is a "Right of Priority" agreement. By paying the Reservation Deposit, the customer does not purchase a final product, but secures a priority position to purchase the "Nubi Essential — Founder Edition" once production is finalised and available for sale.

2. The Founder Edition Benefit

A successful reservation guarantees the customer:

  • Access to the limited "Founder Edition" of Nubi Essential.
  • Exclusive extras and a premium packaging experience reserved only for Founder Edition holders.
  • Priority shipping over the Standard Edition.
  • A unique identification/serial number (as applicable).

3. Reservation Deposit

  • Payment: To secure a spot, a non-refundable deposit is required.
  • Nature of Deposit: The deposit serves as a commitment fee to ensure the production of a unit for the reservist and covers administrative costs.
  • Non-Refundability: The deposit is non-refundable if the customer decides to cancel their reservation or fails to complete the final purchase.
  • Exception: The deposit will be fully refunded if Quiet Friends cancels the project or is unable to deliver the Founder Edition for reasons beyond its control.

4. Final Purchase and Delivery

  • Notification: Quiet Friends will notify the reservist via email when the product is ready for final payment.
  • Final Payment: The reservist must pay the remaining balance within [X] days of notification to maintain their priority.
  • Failure to Pay: If the final balance is not paid within the specified window, the reservation will be cancelled, the deposit forfeited, and the unit offered to the next person on the waitlist.
  • Delivery: Delivery dates are estimates and may vary based on manufacturing and shipping logistics.

5. Product Specifications

Quiet Friends reserves the right to make minor adjustments to the final design and materials of Nubi to ensure the highest quality and manufacturability, provided these changes do not materially alter the character's essence or the promised premium nature of the Founder Edition.

6. Intellectual Property

The purchase of a Founder Edition Nubi grants the customer ownership of the physical object only. All intellectual property rights, including trademarks, copyrights, and design rights of the character "Nubi", remain exclusively with Quiet Friends.

7. FX Price Adjustments and Fluctuations

All transactions are charged in Australian Dollars (AUD). The final balance may be displayed in the customer's local currency for reference, calculated using the prevailing exchange rate at the time of balance notification.

At the time of reservation, Quiet Friends records the exchange rate and estimated final price in the customer's local currency. If the exchange rate at the time of balance notification has shifted by more than 3% relative to the rate recorded at reservation, Quiet Friends will notify the customer and seek explicit confirmation before processing the balance payment.

Quiet Friends accepts no responsibility for fluctuations in exchange rates applied by the customer's bank or card issuer during the conversion from local currency to AUD.

8. Governing Law

These terms are governed by the laws of New South Wales, Australia. All transactions are subject to the Australian Consumer Law (ACL).


Refund Policy

At Quiet Friends, we strive for perfection. Our refund policy is designed to be fair, transparent, and fully compliant with the Australian Consumer Law (ACL).

1. Defective Products (ACL Mandatory Guarantees)

If a product arrives with a manufacturing defect or is damaged during transport:

  • Major Failure: If the product has a major failure (e.g., significant structural damage, incorrect character version), the customer is entitled to choose between a full refund or a replacement.
  • Minor Failure: If the failure is minor, Quiet Friends will choose whether to repair, replace, or refund the product.
  • Shipping Costs: For all defective products, Quiet Friends will cover the return shipping costs.

2. Claim Period

Any defect or damage must be reported within 14 calendar days from the confirmed date of delivery. Reports must be sent to hello@quietfriends.com including:

  • Order number.
  • Clear photographs and/or video evidence of the defect.

3. Change of Mind (Voluntary Policy)

Due to the premium and collectible nature of our products:

  • Founder Edition: Because these are limited and custom-produced, "change of mind" returns are generally not accepted once the final payment is made and shipping has occurred.
  • Standard Edition: Returns for change of mind may be accepted within 14 days of delivery, provided the product is unopened, unused, and in original packaging. In this case:
    • The customer is responsible for all return shipping costs.
    • Shipping costs from the original delivery are non-refundable.

4. Reservation Deposits

As stated in the Founder Reservation Terms, deposits are non-refundable unless the project is cancelled by Quiet Friends.

5. Refund Process

Approved refunds will be processed via the original payment method within [X] business days.
